The specific scope, deliverables, timelines, and fees for any project engagement will be defined in a separate written agreement, statement of work (SOW), or proposal between Bizztimes and the client.

2. Use of the Website

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. You may not:

• Use the Site in any way that violates applicable local, national, or international law
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
• Use automated tools to scrape, crawl, or extract content from the Site without prior written permission
• Transmit any malicious code, viruses, or harmful data through the Site

3. Intellectual Property

Client Work: Ownership of software, code, and deliverables created for clients under a project engagement will be governed by the terms of the specific project agreement or SOW. Unless otherwise agreed in writing, Bizztimes retains ownership of all proprietary tools, frameworks, libraries, and reusable components developed independently.

4. Project Engagements

All project engagements with Bizztimes are governed by a separate written agreement which will include:

• Detailed scope of work and deliverables
• Project timelines and milestones
• Payment terms and fee structure
• Confidentiality obligations
• Intellectual property ownership and licensing
• Warranty, liability, and termination provisions

In the event of any conflict between these Terms and a specific project agreement, the project agreement shall prevail with respect to the services covered by that agreement.

5. Confidentiality

We understand that our clients share sensitive business information during consultations and project engagements. Bizztimes treats all client information as confidential and will not disclose it to third parties without consent, except as required by law. Specific confidentiality obligations will be detailed in the project agreement or a separate NDA where applicable.

6. Payment Terms

Payment terms for project engagements will be specified in the relevant project agreement or SOW. General terms include:

• Invoices are due within the timeframe specified in the project agreement (typically 15–30 days)
• Late payments may incur interest at the rate specified in the agreement
• We reserve the right to pause work on a project if payments are significantly overdue
• All fees are exclusive of applicable taxes unless stated otherwise

7. Warranties and Disclaimers

Website: The Site and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or availability of the Site or its content.

Services: Warranties related to our professional services — including software functionality, performance, and defect resolution — will be defined in the specific project agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Bizztimes shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site, including but not limited to loss of profits, data, business opportunity, or goodwill. Our total liability for any claim arising from the Site shall not exceed the amount you paid to us, if any, in the 12 months preceding the claim.

Liability related to professional services will be governed by the terms of the applicable project agreement.

9. Indemnification

You agree to indemnify and hold harmless Bizztimes, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your use of the Site in violation of applicable law.

10. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Bizztimes. We are not responsible for the content, privacy policies, or practices of any third-party sites. Inclusion of any link does not imply endorsement by Bizztimes.

11. Termination

We reserve the right to restrict or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of Site access does not affect any existing project agreements, which are governed by their own termination provisions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.

We reserve the right to update or modify these Terms at any time. The revised version will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
